Unless otherwise stated, all abbreviations and definitions used herein shall have the same meaning as those used in the Company's announcements dated 15 May 2024, 12 June 2024, 6 August 2024, 19 August 2024, 8 November 2024, 15 November 2024, 6 January 2025, 8 January 2025, 15 January 2025, 17 January 2025, 20 January 2025 and 24 January 2024 (collectively, "Announcements"), the offer document dated 6 December 2024 (“Offer Document”) and the independent advice circular dated 20 December 2024 ("IAC") in relation to the Offer. 

Pertaining to the notice from the Joint Offerors dated 20 January 2025 informing that the Acceptance Condition for the Offer has been revised to the condition that:

The Joint Offerors having received, on or before the Closing Date, valid acceptances which will result in the Joint Offerors and the Joint Ultimate Offerors holding in aggregate (together with such Shares that are already acquired, held or entitled to be acquired or held) at least 85.00% of the total issued MAHB Shares.

Premised on the above and the information contained in the IAC, the Independent Adviser, Hong Leong Investment Bank’s comments, opinions and recommendation as contained in the Independent Advice Letter ("IAL") remain unchanged.

The Non-Interested Directors' comments, opinions and recommendation as contained in the IAC remain unaffected by the revision in the Joint Offerors Acceptance Condition for the Offer.
