We refer to the offer document dated 6 December 2024 which contains the details of the Offer (“Offer Document”). Unless otherwise stated, the terms used herein shall have the same meaning as defined in the Offer Document.

We wish to announce that the Company had on 28 January 2025 received a press release from AmInvestment Bank Berhad, on behalf of the Joint Offerors (“Press Release”), informing the Holders that the Offer has become unconditional on 28 January 2025.

As at 5.00 p.m. (Malaysian time) on Tuesday, 28 January 2025, the total MAHB Shares held by the Joint Offerors and the Joint Ultimate Offerors (including MAHB Shares transferred to the Joint Offerors but pending receipt of the acceptance document (which are subject to verification)) are 95.11% of the total issued shares of MAHB. Accordingly, MAHB does not comply with the minimum public shareholding spread requirement of 25% pursuant to Paragraph 8.02(1) of the Listing Requirements which stipulates that a listed issuer must ensure that at least 25% of its total listed shares (excluding treasury shares) are in the hands of public shareholders.

The shortfall in the public shareholding spread arose as a direct consequence of the Offer and the shortfall is expected to increase further as a result of additional valid acceptances under the Offer until it is closed for acceptances on 5:00 p.m. (Malaysian time) on Wednesday, 12 February 2025. 

As stated in the Press Release, “the Joint Offerors and the Joint Ultimate Offerors do not intend to maintain the listing status of the Offeree on the Main Market of Bursa Securities. The Joint Offerors and the Joint Ultimate Offerors will pursue the appropriate route towards the delisting of the Offeree, including, where necessary, to procure the Offeree to obtain relevant approvals from its shareholders. If the delisting of the Offeree from the Official List is successful, the Shares will no longer be traded on Bursa Securities”.
