We refer to the announcements dated 25 October 2023, 30 October 2023 and 17 January 2024 in relation to the proposed disposal of the entire 41,580,000 equity shares of Rs.10 each held by the Company together with its wholly owned subsidiary, MAHB (Mauritius) Private Limited (“MAMPL”), representing 11% of the issued and paid-up share capital of GMR Hyderabad International Airport Limited ("GHIAL") to GMR Airports Limited (“GAL”), for a cash consideration of USD100 million (approximately RM473.55 million) subject to the terms and conditions of the Sale and Purchase Agreement dated 25 October 2023 (“SPA”) and the Amendment Agreement dated 17 January 2024 (“Amendment Agreement”) (the SPA and the Amendment Agreement hereinafter collectively referred as the “Agreements”). GMR Airports Singapore Private Limited (“GASPL”) is also a party in the Agreements.

The Board of Directors of MAHB  wishes to announce that the Proposed Disposal has been completed following the fulfilment of all the Conditions Precedent pursuant to the Agreements, the receipt of the Consideration in full and the transfer of Sale Shares to GAL on 25 January 2024.
