Description MALAYSIA AIRPORTS HOLDINGS BERHAD ("MAHB" OR THE "COMPANY") PROPOSED ESTABLISHMENT OF AN ISLAMIC NOTES ISSUANCE PROGRAMME OF UP TO AN AGGREGATE AMOUNT OF RM5.0 BILLION IN NOMINAL VALUE FOR THE ISSUANCE OF SENIOR ISLAMIC MEDIUM TERM NOTES ("SENIOR SUKUK WAKALAH") AND/OR SUBORDINATED PERPETUAL ISLAMIC NOTES ("PERPETUAL SUKUK WAKALAH") BASED ON THE SHARIAH PRINCIPLE OF WAKALAH BI AL-ISTITHMAR ("SUKUK WAKALAH PROGRAMME")

1.   INTRODUCTION

MAHB is pleased to announce that the Company has on 8 November 2021 made a lodgement with the Securities Commission Malaysia (“SC”) for the establishment of the Sukuk Wakalah Programme pursuant to the SC’s Guidelines on Unlisted Capital Market Products under the Lodge and Launch Framework (issued by the SC on 9 March 2015 and revised on 26 April 2021, as amended from time to time).

2.   DETAILS OF THE SUKUK WAKALAH PROGRAMME

The Sukuk Wakalah Programme, which has a perpetual programme tenure, provides the Company with flexibility to issue the Senior Sukuk Wakalah and/or Perpetual Sukuk Wakalah (collectively, referred to as “Sukuk Wakalah”) from time to time, subject to the aggregate outstanding nominal value of the Sukuk Wakalah not exceeding RM5.0 billion at any point in time.

The Senior Sukuk Wakalah and the Perpetual Sukuk Wakalah under the Sukuk Wakalah Programme have been assigned an initial rating of AAA and AA2 respectively, with a stable outlook by RAM Rating Services Berhad.

3.   UTILISATION OF PROCEEDS

The proceeds from the issuance of Sukuk Wakalah shall be utilised by MAHB and its group of companies (“MAHB Group”):

(a)   for working capital requirements, capital expenditure, general investments and/or general corporate purposes of the MAHB Group;

(b)   for refinancing/repayment of existing borrowings/financings/corporate bonds/Sukuk issues and/or future Shariah-compliant financings/Sukuk issues of the MAHB Group; and/or 

(c)   to defray fees, costs and expenses relating to the establishment of the Sukuk Wakalah Programme and the issuances of the Sukuk Wakalah.

For the avoidance of doubt, all utilisation of proceeds raised under the Sukuk Wakalah Programme shall be Shariah compliant.

4.   ADVISERS

HSBC Amanah Malaysia Berhad and Maybank Investment Bank Berhad are the Joint Principal Advisers and Joint Lead Arrangers for the Sukuk Wakalah Programme, whereas HSBC Amanah Malaysia Berhad, Maybank Investment Bank Berhad and RHB Investment Bank Berhad are the Joint Lead Managers for the Sukuk Wakalah Programme.
